1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and OptiAudit ("we," "us," or "our"). By accessing or utilizing the OptiAudit platform, APIs, or related software tools (collectively, the "Service"), you acknowledge that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Description of the Service

OptiAudit empowers developers, agencies, and businesses with comprehensive website performance analysis, SEO auditing, security posture scanning, and accessibility evaluations. We ingest publicly available web pages, synthesize automated evaluations through our proprietary engine and third-party integrations (such as Google PageSpeed Insights), and present actionable technical reports. We do not alter, host, or interfere with the target websites you analyze.

3. Fair Use & Rate Limiting

To guarantee stability and high availability across our user base, OptiAudit enforces strict rate limiting.

  • Standard Accounts: Free, unauthenticated, and standard user accounts are restricted to executing a maximum of 10 comprehensive performance audits per 24-hour cycle.
  • Automated Abuse: The circumvention of rate limits via IP rotation, automated scripting, or the creation of vast networks of dummy accounts is strictly prohibited.
  • Enforcement: We utilize automated heuristics to track and enforce these limits based on IP addresses, device hashing, and account associations. Accounts violating fair use policies may be throttled, suspended, or subjected to permanent IP bans without prior notice.

4. Acceptable Conduct

As a condition of your use of the Service, you agree not to engage in any activity that could compromise the integrity, performance, or security of the OptiAudit platform. You specifically agree you will not:

  • Systematically scrape, retrieve, or aggregate data or reports from the Service to create a competing product or service.
  • Point the OptiAudit engine toward internal networks, private subnets, or malicious URLs known for distributing malware or executing phishing campaigns.
  • Attempt to reverse-engineer, decompile, or extract the source code of our analytical dashboards, calculators, or network waterfall rendering tools.

5. Third-Party Dependencies & Uptime

OptiAudit leverages external endpoints (e.g., Google Chrome UX Report, underlying Lighthouse execution environments) to aggregate robust performance data. Consequently, our ability to successfully generate a report is contingent upon the availability of these third-party operators. We do not provide an explicit Service Level Agreement (SLA) or guarantee 100% uptime for free-tier analysis. Brief outages or API ingestion delays resulting from external provider disruptions do not constitute a breach of these Terms.

6. Intellectual Property & Report Ownership

The codebase, visual interfaces, proprietary analytical models, and "OptiAudit" trademarks are the exclusive IP of OptiAudit. However, the exact data comprising the generated audit reports—based on public web assets—are non-proprietary to OptiAudit. You are granted an unconditional license to export, share, present, and utilize the generated reports in your own commercial workflows (e.g., client pitches, internal development audits) without attribution.

7. Disclaimers & Limitation of Liability

The Service is provided on an "as-is" and "as-available" basis. OptiAudit disclaims all warranties, express or implied, including the implied warranties of merchantability and fitness for a particular purpose. We make no representations regarding the accuracy of technical recommendations or the exactness of the Estimated Business Impact / ROI Calculator, which serves purely as a theoretical model based on industry averages, not guaranteed financial forecasting.

In no event will OptiAudit, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, or punitive damages—including lost profit, lost revenue, or loss of data—arising from your use of the Service, even if we have been advised of the possibility of such damages.
